Continuity of Operations Plan (“COOP”)

ADM has developed a COOP that covers how we will respond to events that could significantly disrupt our business operations. Since the timing and impact of disruptions is unpredictable, we have developed a plan which provides flexibility in responding to actual events as they occur. With that in mind, we are providing you with general information on our COOP.

The ADM COOP includes:

Assessment of financial and operational activities; Mission-critical system data backup and recovery; Communications with customers, employees and regulators; Relocation of employees and operations to designated backup locations(s) of varying distances from  he main office where redundant data is maintained to allow ADM to continue operations; Coordination with critical suppliers, contractors, banks and counterparties; and Providing customers with prompt access to their funds and reports ADM has specified and developed the necessary designated backup location(s) to continue its operations until normal working conditions can be restored.

The following strategies for dealing with disasters of varying severity were used in the development of the ADM COOP.

Building or business district disruption
In the event of a power outage of longer than one business day, ADM will relocate operations to our designated backup location(s) until power is restored.

Citywide or regional disruptions
ADM designates backup location(s) in geographically diverse areas that can be activated upon assessment of the continued disruption. These facilities are designated so that operations can resume to meet the needs of customers and activities. The planned recovery time, including a relocation of sufficient personnel to resume sufficient services for the local, citywide or regional is designed to minimize disruptions of service to customers and vendors, although the recovery may be negatively affected by the unavailability of external resources and circumstances beyond ADM’s control.
